Definitions and scope
"We" means Goldshire Gadgets, a business name registered in Ireland under number 771479, of 8 Springlawn Close, Blanchardstown, Dublin 15, D15 KT2T. "Customer" means the business placing the order. "Goods" means the electrical equipment we supply: industrial electrical equipment, circuit breakers and protection devices, cables and wiring, power supplies and transformers, control panel components and relays, and LED lighting equipment and accessories. Deviations from these terms bind us only if agreed in writing. The Customer's own purchase conditions are expressly rejected.
Quotes, orders and formation
Product information on this website is an invitation to treat, not an offer. A written quote is valid for 14 days unless it states otherwise and is subject to the Goods remaining available. A contract is formed when we issue a written order confirmation. We may decline any order, including where the Customer is not a business or where the quantity is below our minimum trade quantity.
Prices, VAT and payment
Prices are in euro and exclusive of Irish VAT unless stated otherwise. Business customers established in another EU member state with a valid VAT identification number are invoiced under the reverse charge mechanism; the Customer is responsible for the accuracy of the number supplied. Prices for non-stocked lines are held only for the validity period of the quote and may be re-quoted where a manufacturer price or currency moves before order confirmation.
Unless an approved credit account is in place, orders are payable in full before dispatch. Where credit terms apply, invoices fall due 30 days from the invoice date. Late payment attracts interest and compensation under the European Communities (Late Payment in Commercial Transactions) Regulations 2012.
Delivery, risk and title
Delivery dates are estimates given in good faith and are not of the essence. Stocked lines are normally dispatched from Dublin within 48 hours of a cleared order. Risk in the Goods passes on delivery to the Customer or its carrier. Title does not pass until we have received payment in full; until then the Customer holds the Goods as bailee, stores them so they remain identifiable, and we may enter the premises to recover them.
Shortages, incorrect items or transit damage must be noted on the delivery documentation and reported to us in writing within 3 working days of delivery.
Returns and cancellation
Stocked, unused Goods in original, unopened and resaleable packaging may be returned within 14 days of delivery with our prior written authorisation and a returns reference; a restocking charge of up to 20% may apply and return carriage is at the Customer's cost. Cut lengths of cable, special-order items, bespoke assemblies and kitted panels are non-returnable once ordered. Cancellation of a special order after we have placed it with the manufacturer is subject to the manufacturer's charges.
Product suitability and compliance
The Customer is responsible for selecting Goods suitable for its installation, including ratings, discrimination, cable sizing, ingress protection and lighting design, and for installation by a competent person in accordance with I.S. 10101 or the applicable national wiring rules. Where the Customer supplies a bill of materials, we quote and supply against it as written; we do not verify the design behind it.
Warranty
Goods are supplied with the manufacturer's warranty, which we pass through in full. Where Goods are defective on arrival, we will, at our option, replace them, repair them or credit the invoice value. Warranty does not cover damage from incorrect selection, installation, overloading, misuse, unauthorised modification, or environmental conditions outside the product's specification.
Intellectual property and marks
Manufacturer trademarks, part numbers and datasheets remain the property of their owners and are used for identification only. The Customer may not remove or alter markings, labels or serial numbers on the Goods.
Liability
Our aggregate liability arising from any order is limited to the invoiced value of the Goods concerned. We are not liable for indirect or consequential loss, loss of profit, loss of contract, site downtime, or the cost of removing and reinstalling Goods. Nothing in these terms excludes liability for fraud, for death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded.
Force majeure, suspension and termination
Neither party is liable for delay caused by events beyond its reasonable control, including manufacturer allocation, raw material shortage, carrier failure, industrial action or government measures. We may suspend deliveries where the Customer is in default of payment, and either party may terminate an open-ended supply arrangement on one month's written notice.
Complaints, law and jurisdiction
Complaints must be submitted within 14 days of delivery or invoice date to info@goldshiregadgets.com. These terms are governed by the laws of Ireland and the parties submit to the exclusive jurisdiction of the Irish courts. See also our disclaimer and privacy statement.
